Business owners generally want to immediately expense as much startup cost as they can because it means an immediate tax deduction. However, the IRS has strict guidelines for expensing and limiting these costs. The agency instructs business owners to expense the first $5,000 of startup costs, with a dollar-for-dollar phaseout at $50,000. If you had $51,000 of startup costs, you can only expense $4,000, not $5,000. Owners should amortize any remaining startup costs over 180 months. In this example, the business owner has $47,000 worth of startup costs remaining to amortize over the next 180 months.
You have a partial interest in the production from a property if you have a net profits interest in the property. To figure the share of production for your net profits interest, you must first determine your percentage participation (as measured by the net profits) in the gross revenue from the property. To figure this percentage, you divide the income you receive for your net profits interest by the gross revenue from the property. Then multiply the total production from the property by your percentage participation to figure your share of the production.

Good investors know that not all their investments are going to work out. Experienced investors have seen it all before, so hopefully you won’t be dealing with a lot of blowback. It will probably be much less than you are expecting. However all investors, whether experienced or not, hate being surprised. So keep lines of communication open with them during both the life and death of your business. This is why you should always send short monthly updates after any investor joins up. That way they can see the trajectory of the business (good or bad), and they will not be surprised by sudden news that the business is closing. If the shutdown is well managed and clearly communicated, you might even be able to raise money from them again.

We usually suggest that entrepreneurs understand that uniqueness, IP protection, management skill, timing, market size, market dynamics, proper financing, and luck all contribute to success. Entrepreneurial optimism, passion, and persistence are fine, but not enough to sustain a business that lacks fundamentals.

It’s OK if your solution is clunky - what matters is that you deliver your Value Proposition and you learn the basics of your customers’ problems before you automate. By being a part of the solution personally, you’ll be able to experience your customers’ problems first hand and you’ll get to see what pain points matter the most for them. Plus, you’re not spending a lot of time and money on building an automated solution you don’t know will work yet. But you are serving customers.

Rather than amortize, a business can choose to capitalize startup and organizational expenses if the 1st tax return for the business treats the costs as such and is filed by the due date, including extensions. The election to amortize or capitalize is irrevocable. For a business entity organized as a corporation or partnership, only the corporation or partnership can make the election, not shareholders or partners. However, a partner can make the election for any costs incurred in investigating the partnership interest.

You can deduct specific bad debts that become partly uncollectible during the tax year. Your tax deduction is limited to the amount you charge off on your books during the year. You do not have to charge off and deduct your partly worthless debts annually. You can delay the charge off until a later year. When you incur business start-up expenses, it’s important to remember two key points. First, start-up expenses can’t always be deducted in the year when they are paid or incurred. Second, no deductions or amortization write-offs are allowed until the year when active conduct of your new business commences. That usually means the year when the business has all the pieces in place to begin earning revenue. 

A recent U.S. Tax Court decision drives home the important point that current deductions aren’t allowed for most expenses incurred while a new business is still in the start-up phase. Other decisions have dealt with the same issue in recent years. So, the proper federal income tax treatment of start-up expenses remains an ongoing source of confusion for taxpayers.
