If you’ve heard of SEO, you’ve almost certainly heard of Rand Fishkin. Also known as the Wizard of Moz, he is the founder and former CEO of the SEO business Moz. He has a huge, very loyal online following from his videos and blog posts, which are both information-packed and a lot of fun to watch. However, Fishkin describes his early leadership of Moz as fraught with failure:

Startup costs of a newly formed subsidiary are deductible by the parent if in substance the newly formed subsidiary is merely a branch or division of the parent (Baltimore Aircoil Co.,333 F. Supp. 705 (D. Md. 1971)). In Baltimore Aircoil, the company formed a wholly owned subsidiary in the state of California and geographically split its operations between the parent and the new subsidiary. The purpose for forming this new entity was to more competitively manufacture, market, and distribute its products on the West Coast. In effect, a new branch was formed, and expenses for travel, moving, training, printing, and telephone were deductible as ordinary and necessary business expenses.
The rules for recovering the costs of Sec. 197 intangibles are similar to the rules for recovering startup costs, but there are significant differences. One difference is that while a taxpayer may deduct up to $5,000 of startup costs, a taxpayer may not deduct any cost for goodwill or other intangible assets listed in Sec. 197 except through amortization. A taxpayer amortizes the startup costs not eligible for an immediate deduction over 180 months. Likewise, a taxpayer amortizes goodwill and other intangibles listed in Sec. 197 over 15 years (Sec. 197(a)).
Back in the day, all our team members rolled up their sleeves and did everything to get things done, cutting across functional boundaries. You can elect to deduct only the costs of items with no salvage value. These include wages, fuel, repairs, hauling, and supplies related to drilling wells and preparing them for production. The first and foremost requirement for a pivot to truly succeed is it must solve a major problem. At the time Fab was a hugely successful company, despite the fact that the daily flash sales model wasn’t sustainable in the long-term, choosing to drastically scale down their product offerings moved too far from their identity as a designer store. Fab ultimately created another problem while prematurely trying to solve another.
Under Regs. Sec. 1.195-1, a taxpayer is not required to make a separate election statement to deduct startup costs. Such an election is deemed to be automatically made for the tax year in which the taxpayer begins an active trade or business. The taxpayer can forgo the deemed election by clearly electing to capitalize its startup expenditures on a timely filed return for the year the taxpayer begins business in accordance with instructions provided with the tax return.

Whether an agreement is a conditional sales contract depends on the intent of the parties. Determine intent based on the provisions of the agreement and the facts and circumstances that exist when you make the agreement. No single test, or special combination of tests, always applies. However, in general, an agreement may be considered a conditional sales contract rather than a lease if any of the following is true.

Amazon said that it decided to close down Quidsi because it failed to turn a profit after the acquisition. But one report stated that just a few months before the announcement, execs told Quidsi staff that it was expected to reach profitability this year, leading some to question if Amazon’s feud with Quidsi’s founder, Marc Lore, was the real reason behind the decision to shut it down.

For costs paid or incurred after October 22, 2004, and before September 9, 2008, you can elect to deduct a limited amount of business start-up and organizational costs in the year your active trade or business begins. Any costs not deducted can be amortized ratably over a 180-month period, beginning with the month you begin business. If the election is made, you must attach any statement required by Regulations sections 1.195-1(b), 1.248-1(c), and 1.709-1(c), as in effect before September 9, 2008.

“I lost $9 million in a day. I was on the set of one of my favorite TV shows. Then I got a text message: ‘Board call in 15 minutes.’ I went on the call. You can reimburse your employees under an accountable plan based on travel days, miles, or some other fixed allowance. In these cases, your employee is considered to have accounted to you for the amount of the expense that doesn’t exceed the rates established by the federal government. Your employee must actually substantiate to you the other elements of the expense, such as time, place, and business purpose.
