Closing your startup feels a tad bit like losing someone you held dear. Of course, the tragedy of the death of a beloved one is absolutely incomparable with the feelings associated to the company failure and I don’t have an intention to over-dramatize but the void of loss is real. The worst part is that you know that everything bad that happened in the life of your startup and the reason behind its death is your responsibility.

The market multiple approach, arguably, delivers value estimates that come closes to what investors are willing to pay. Unfortunately, there is a there is hitch: comparable market transactions can be very hard to find. It's not always easy to find companies that are close comparisons, especially in the star-up market. Deal terms are often kept under wraps by early stage, unlisted companies – the ones that probably represent the closest comparisons. The reasons are that 1) our revenues do not cover our costs, and 2) we are not able to close a third fundraiser…. In March 2016, after having been rejected by 114 VC funds, we signed a term sheet with a French, state-owned, logistics group, for a 30M euro investment. Unfortunately, after 3 months of intensive due diligence, their board rejected the deal and they ended up withdrawing their offer. We were negotiating with them under an exclusivity agreement, didn’t have a plan B, and only had a couple of weeks of run-way left..

The most significant drawback to a remote team is the administrative hassle. It’s a pain to manage payroll, unemployment, insurance, etc in one state. Apparently, once your startup gets larger, there are companies that will manage this with minimal hassle, but for a small team, it was a major annoyance and distraction.

An additional thought on quitting: It’s ultimately the entrepreneur’s personal decision to quit, because there’s always some alternative scenario, as unpleasant as it might be. You can always dilute yourself more, raise more capital, or reduce the burn rate. It can add more time to the clock, which might be unpleasant, yet it might save the company. Is it always logical to do that? Maybe, and maybe not! But it’s worth considering that there’s always another move, and an entrepreneur shouldn’t ever feel like they’re somehow “forced” to quit.
Restaurants with great food seem to prosper no matter what. A restaurant with great food can be expensive, crowded, noisy, dingy, out of the way, and even have bad service, and people will keep coming. It's true that a restaurant with mediocre food can sometimes attract customers through gimmicks. But that approach is very risky. It's more straightforward just to make the food good.
An alternate (and polar opposite) approach is to take on fewer startup clients, but get deeply in bed with them and bet on the potential long-term upside of the company.  An example would be a consultant who spends 1/3rd of her time with a startup acting as interim CFO or marketing person, and who takes a few points of equity in the company.  This might also be structured as a small monthly retainer with a significant bonus paid when the startup closes a proper funding round or is acquired. 
Steering the ship — handling all of the engineering, manufacturing, marketing, and retailing, even when you’re taking 90 percent of the subsequent profits — was ultimately too expensive of a proposition, especially in comparison to other, less-handholding-oriented start-ups. “The reason why Kickstarter makes a ton of money is they don’t have to do anything besides put up a website,” [founder Ben] Kaufman notes.
No matter how close of friends, how much you trust each other or how good your intentions are money comes between people and everyone over estimates their own contributions. Furthermore, founders become highly emotional about their companies. Thus, the process of negotiating taking back stock from founders is not rational and inherently very difficult. However, vesting schedules reduce the difficult negotiation to simply and mechanically exercising the companies pre-agreed right to repurchase stock at the price it was issued. I foolishly let myself fall into the “it won’t happen to me” trap but no startup gets it right on the first try and theses hiccups often lead to changes in the team. Believing that any startup won’t have to deal with stock vesting issues is totally unrealistic.

Airware will serve as cautionary tale of startup overspending in hopes of finding product-market fit. Had it been more frugal, saved cash to extend its runway, and given corporate clients more time to figure out how to use drones, Airware might have stayed afloat. Sometimes, even having the most prestigious investors can’t save a startup from mismanagement.
#3: Take a brief time-out if you can. A failed business is sort of like a failed relationship. You need time to heal. If you can't afford a brief time-out, try to find some consulting work until you've had a chance to gain more perspective. The worst thing you can do is make another long term career decision in the mental space you're in after failing at something. Do something to help rebuild your confidence first.
We have bittersweet news to share. The changes in policies announced by several major airlines at the end of last year—the banning of smart luggage with non-removable batteries—put our company in an irreversibly difficult financial and business situation. What aren’t start up costs? Now that you know what start up expenses are, you need to know what they are not. They do not include monies that you spend on interest, which are deductible anyway, taxes or research and development. They also don’t include any depreciable assets such as furniture, vehicles, machinery and cost of depreciable real estate.  These are treated separately as depreciable assets and can be written off over a number of years or can be written off using bonus depreciation or the expense election.

Sometimes the VCs want to install a new CEO of their own choosing. Usually the claim is that you need someone mature and experienced, with a business background. Maybe in some cases this is true. And yet Bill Gates was young and inexperienced and had no business background, and he seems to have done ok. Steve Jobs got booted out of his own company by someone mature and experienced, with a business background, who then proceeded to ruin the company. So I think people who are mature and experienced, with a business background, may be overrated. We used to call these guys "newscasters," because they had neat hair and spoke in deep, confident voices, and generally didn't know much more than they read on the teleprompter.

Miraculously it all turned out ok. The investors backed down; we did another round of funding at a reasonable valuation; the giant company finally gave us a piece of paper saying they didn't own our software; and six months later we were bought by Yahoo for much more than the earlier acquirer had agreed to pay. So we were happy in the end, though the experience probably took several years off my life.
Business startup costs do not include expenses incurred to investigate whether to start or buy a particular business.� These expenses include travel and other expenses incurred to investigate businesses. However, once a decision is made to buy a particular business, then the costs associated with buying or setting up of the business are deductible, including surveying perspective suppliers or customers, surveys of potential markets, facilities, labor, and supplies, professional service fees, advertisements to alert potential customers that the business is opening, salaries and wages for employees who are being trained and for their instructors. Other expenses that would normally be deductible by an operating business would also be amortizable if incurred or paid before the start of business operations.
If you choose to have someone prepare your tax return, choose that preparer wisely. A paid tax return preparer is primarily responsible for the overall substantive accuracy of your tax return and, by law, is required to sign the return and include their preparer tax identification number (PTIN) on it. Although the tax return preparer signs the return, you are ultimately responsible for the accuracy of every item reported on your return. Your existing customers are also an easy path to finding new customers. Unless people are searching Google for your exact solution, you will want to come up with every creative way that enables your customers to tell their friends. You can even borrow a page out of the e-commerce playbook and offer your customer money and/or credit for selling product to people they know. E. Kelly Fitzsimmons is a well-known entrepreneur who has founded, led and sold several technology startups. Recently, she co-founded Custom Reality Services, a virtual reality production company whose first project, Across the Line, premiered at the New Frontier program of the 2016 Sundance Film Festival. She is also the co-founder of the Hypervoice Consortium, which researches the future of voice communications. Previously, she was the co- founder and CEO of HarQen. Prior to launching HarQen, she founded Sun Tzu Security (1996), an information security firm, which merged with Neohapsis (2003), where she led the combined company as CEO through 2006. Cisco acquired Neohapsis to enhance its information security offerings in 2014. In 2011, the Angel Capital Association awarded her the Silvertip PwC Entrepreneurship Award. In 2013, Speech Technology magazine honored her with the Luminary Award. She is a regular contributor to Information Week and Inc. magazine. Recently, several of her Inc. articles were published in an anthology Been There, Run That. She serves on the board of the Executive Women's Forum, the largest member organization serving female executives in the Information Security, Risk Management and Privacy industries. She completed her undergraduate studies at the University of Rochester and holds a master's degree from Harvard University.
Perhaps it's because society still holds to the Industrial-era thinking that business life and personal life should be kept separate that books such as these are rare. Most business books fail to deal at all with the personal, the emotional, the human side of business. However, these are the aspects of startup life where we confront real challenges--often alone and without guidance or help. This is beginning to change. And, folks like Brad and Amy, and the others who shared their stories, are helping to make it happen.

The other reason to spend money slowly is to encourage a culture of cheapness. That's something Yahoo did understand. David Filo's title was "Chief Yahoo," but he was proud that his unofficial title was "Cheap Yahoo." Soon after we arrived at Yahoo, we got an email from Filo, who had been crawling around our directory hierarchy, asking if it was really necessary to store so much of our data on expensive RAID drives. I was impressed by that. Yahoo's market cap then was already in the billions, and they were still worrying about wasting a few gigs of disk space.

Almost from the start, Pets.com was a losing proposition, despite its backers’ talk about how much money consumers lavish on their pets. Many pet supplies are heavy and costly to ship – cat litter, cans of dog food – and the firm couldn’t sell enough higher-profit items such as pet toys. Moreover, to attract customers, the company depended heavily on discounts, said Jupiter Communications analyst Heather Dougherty. As a result, the firm was selling supplies below cost the entire time.
The cost of food and beverages you provide primarily to your employees on your business premises is deductible. This includes the cost of maintaining the facilities for providing the food and beverages. These expenses are subject to the 50% limit unless they qualify as a de minimis fringe benefit, as just discussed, or unless they are compensation to your employees (explained later).
Example:  Assuming you have $20,000 of start up expenses in 2011 before September when you started your business, your statement would say, “Taxpayer elects to deduct, under section 195 of the Internal Revenue Code, $5,000 of startup costs and amortize the remaining $15,000 of start up costs over 180 months beginning in September 2011. But there is no greater teacher than failure. Studies have even shown that organizations learnt more from failure than success, and even retain the knowledge longer. If you’re going to be an entrepreneur then you better get used to failing, it will become an inevitable part of your life. Don’t run from it, embrace it and see what lessons you can learn from it.

After Raghunandan and Radhakrishna signed the deal, the former recalls the feeling of emptiness. “Our identity was taken away,” he says. “I was used to waking up full of ideas, sharing them with the team and watching everyone work towards accomplishing them. To no longer have that can become extremely emotionally overwhelming.” People may find it hard to sympathize with your predicament when you walk away with a ton of cash, but, as Raghunandan sees it: “Yes, we made money and that gave us financial stability, but it didn’t excite us. After all, we didn’t start the company just for rapid wealth creation.”


Our source tells us that the sale is a do-or-die scenario because the company is running out of cash: “The price is very low. No one is making any money.”… the music industry has been hit hard with cannibalisation from digital sales and piracy. And the promise of new revenues, on the back of the explosion in mobile and internet usage, have yet to materialise for most music companies, with Apple’s iTunes dominating the market with more than a 60 percent share.
The bet was risky because it required large geographies — indeed, entire nations — to adopt the technology in order for it to scale successfully. The company chose small countries like Israel and Denmark to test its model, but the company’s upfront costs kept mounting, and it kept delaying debuts. Also, a number of competing electric car efforts, including the venture by new company Tesla but also by the Big 3 and other manufacturers, kept the industry from adopting any one standard.
Your business should be growing about 5% annually and your first employees are now reaching eight- to ten-year tenure. You should feel more secure than you have at any other point since you started out. You are probably able to take regular dividends out of the company. Professional management should be running the day-to-day business. And while some emergencies demand your attention, things are relatively predictable.
