Ideally you want between two and four founders. It would be hard to start with just one. One person would find the moral weight of starting a company hard to bear. Even Bill Gates, who seems to be able to bear a good deal of moral weight, had to have a co-founder. But you don't want so many founders that the company starts to look like a group photo. Partly because you don't need a lot of people at first, but mainly because the more founders you have, the worse disagreements you'll have. When there are just two or three founders, you know you have to resolve disputes immediately or perish. If there are seven or eight, disagreements can linger and harden into factions. You don't want mere voting; you need unanimity.
When you receive correspondence from us, read the entire notice or letter carefully. Typically, we only need a response if you don’t agree with the information, we need additional information, or you have a balance due. Historians and academics have observed that organizations, like living organisms, have life cycles. They are born (established or formed), they grow and develop, they reach maturity, they begin to decline and age, and finally, in many cases, they die. Study of the organizational life cycle (OLC) has resulted in various predictive models. These models, which have been a subject of considerable academic discussion, are linked to the study of organizational growth and development. Organizations at any stage of the life cycle are impacted by external environmental circumstances as well as internal factors. We're all aware of the rise and fall of organizations and entire industries. Products too have life cycles, a fact that has been long recognized by marketing and sales experts. It seems reasonable to conclude that organizations also have life cycles.
Treat capitalized interest as a cost of the property produced. You recover your interest when you sell or use the property. If the property is inventory, recover capitalized interest through cost of goods sold. If the property is used in your trade or business, recover capitalized interest through an adjustment to basis, depreciation, amortization, or other method.
Choose a tax return preparer you will be able to contact in case the IRS examines your return and has questions regarding how your return was prepared. You can designate your paid tax return preparer or another third party to speak to the IRS concerning the preparation of your return, payment/refund issues, and mathematical errors. The third party authorization checkbox on Form 1040, Form 1040A, and Form 1040EZ gives the designated party the authority to receive and inspect returns and return information for 1 year from the original due date of your return (without regard to extensions). You can extend the authority to receive and inspect returns and return information to a third party using Form 8821, Tax Information Authorization.

The cost of repairing or improving property used in your trade or business is either a deductible or capital expense. Routine maintenance that keeps your property in a normal efficient operating condition, but that doesn’t materially increase the value or substantially prolong the useful life of the property, is deductible in the year that it is incurred. Otherwise, the cost must be capitalized and depreciated. See Form 4562 and its instructions for how to figure and claim the depreciation deduction.

Ethan and I came up with the “Zombie Team” test for figuring out whether or not someone is ready to work on an intense project, be it a start-up or otherwise. The test is this: If zombies suddenly sprung from the earth, could you trust the perspective team member to cover your back? Would they tell you if they got bit? Most importantly would you give them the team’s only gun if you knew they were the better shot? If the answer is no to any of those questions you need to let them get eaten by the cubicle wasteland of corporate culture, because they aren’t ready for this kind of work.
For the angel to have someone to make the check out to, you're going to have to have some kind of company. Merely incorporating yourselves isn't hard. The problem is, for the company to exist, you have to decide who the founders are, and how much stock they each have. If there are two founders with the same qualifications who are both equally committed to the business, that's easy. But if you have a number of people who are expected to contribute in varying degrees, arranging the proportions of stock can be hard. And once you've done it, it tends to be set in stone.
Startups don’t last forever -- they either mature into sustainable businesses, get merged into another business or acquired, or sadly join the 50 percent or more that fail in the first five years. Very few startup founders even want to stick around for the long haul, since their passion and expertise is in creating a new business, not managing people issues and repeatable processes.
Generally, the election must be made on a timely filed return (including extensions) for the tax year in which you incurred the costs. However, if you timely filed your return for the year without making the election, you can still make the election by filing an amended return within 6 months of the due date of the return (excluding extensions). You must capitalize both the direct and indirect costs of an improvement. Indirect costs include repairs and other expenses that directly benefit or are incurred by reason of your improvement. For example, if you improve the electrical system in your building, you must also capitalize the costs of repairing the holes that you made in walls to install the new wiring. This rule applies even if this work, performed by itself, would otherwise be treated as currently deductible repair costs.
The cost of food and beverages you provide primarily to your employees on your business premises is deductible. This includes the cost of maintaining the facilities for providing the food and beverages. These expenses are subject to the 50% limit unless they qualify as a de minimis fringe benefit, as just discussed, or unless they are compensation to your employees (explained later).

A final way I've seen startup consultants do well is by productizing their work into something scalable beyond an hourly fee or retainer.  This might take the form of books, workshops, Udemy lessons, software tools (like I’ve done with Foundersuite), an event series (as I’ve done with StartupExits and StartupBD) or even by creating a co-working space or incubator (Founder's Institute comes to mind).  All good stuff, but selling products or becoming a successful author is harder than it looks; the ones who do it well (think Malcolm Gladwell or Eric Ries) do quite well financial.

Just as industries experience life cycles, studies have documented life cycles in many other areas. Countries have life cycles, for example, and we traditionally classify them as ranging from the First World countries to Third World or developing countries, depending on their levels of capital, technological change, infrastructure, or stability. Products also experience life cycles. Even within an industry, various individual companies may be at different life cycle stages depending upon when they entered the industry. The life cycle phenomenon is an important and universally accepted concept to help managers better understand sales growth and change over time.
The reasons are that 1) our revenues do not cover our costs, and 2) we are not able to close a third fundraiser …. In March 2016, after having been rejected by 114 VC funds, we signed a term sheet with a French, state-owned, logistics group, for a 30M euro investment. Unfortunately, after 3 months of intensive due diligence, their board rejected the deal and they ended up withdrawing their offer. We were negotiating with them under an exclusivity agreement, didn’t have a plan B, and only had a couple of weeks of run-way left.

The deduction under the optional method is limited to $1,500 per year based on $5 per square foot for up to 300 square feet. Under this method, you claim your allowable mortgage interest, real estate taxes, and casualty losses on the home as itemized deductions on Schedule A (Form 1040). You are not required to allocate these deductions between personal and business use, as is required under the regular method. If you use the optional method, you cannot depreciate the portion of your home used in a trade or business.

The purpose for forming this new entity was to more competitively manufacture, market, and distribute its products on the West Coast. The startup had originally allowed customers to book chefs days in advance for at-home dinner parties, but last year moved to an on-demand model. The America Job Creation Act, 2004 presumes that the business owners would like to opt for maximum permissible deduction for the start-up cost in the first year itself, whatever amount they are eligible for. But it is entirely your call whether or not to avail the deduction in the first year itself. Instead of availing deduction, you can choose to amortize the entire start-up cost over the course of next 180 months. This makes financial sense for businesses that do not yet generate substantial revenue.

Like most other nanotech companies, Optiva took a while to get its product out. It shifted focus, its technology changed, as did the market. Its “polarizer” technology was supposed to be sold for use in wrist watch, calculator and PDA displays, but as VentureWire reports, suddenly the people who already made the displays found a glut of scrap material, which was also suitable, thus resulting in a rapid drop in market prices.

As companies experience booming sales growth, business risks decrease, while their ability to raise debt increases. During the growth phase, companies start seeing profit and positive cash flow, which evidences their ability to repay debt. The corporations’ products or services have been proven to provide value in the marketplace. Companies at the growth stage seek more and more capital as they wish to expand their market reach and diversify their businesses.

However, you do not have to capitalize amounts for creating an intangible asset if the right or benefit created does not extend beyond the earlier of 12 months after the date that you first receive the right or benefit or the end of the tax year following the year in which you made the advance payment. If you are a cash method taxpayer and your advance payment qualifies for this exception, then you can generally deduct the amount when paid. If you are an accrual method taxpayer, you cannot deduct the amount until the all-events test has been met and economic performance has occurred.

The first and foremost requirement for a pivot to truly succeed is it must solve a major problem. At the time Fab was a hugely successful company, despite the fact that the daily flash sales model wasn’t sustainable in the long-term, choosing to drastically scale down their product offerings moved too far from their identity as a designer store. Another venture was based around myself, a member of my team from the previous venture, and a new guy I met who had claimed to have some experience in management. Still in polytech, one of them constantly pointed out that “this is where all the big company’s start out,” referring to Microsoft, Apple, and other tech giants. The other was constantly reminding us that we would be driving our Ferarri’s and living in million dollar homes within 3 years. I like the optimism, but I think the focus should be on making the company successful rather than getting an expensive car.
This is part of that sketch process and the direction that will help you move on from your past failures for good. Once your brain has something new to fixate on, it will let that past go. Your heart will respond accordingly. Sharing these new ideas with your mentor and loved ones will generate the cheerleading and buzz that will put even more distance between the new and past versions of yourself.
Also, funds that you spend to qualify to get into the business or profession does not qualify as start up costs. Thus, costs incurred to get a real estate license, which has an unlimited duration as long as you pay fees and get continuing education, aren’t qualified start up costs.  The same can be said for CPA exam preparation and licenses, bar review courses and licenses and getting an undergraduate bachelors degree. However, other than getting yourself qualified for the new profession or trade or business, any monies spent on investigating these business would be a qualified start-up expenses.
Once you've got a company set up, it may seem presumptuous to go knocking on the doors of rich people and asking them to invest tens of thousands of dollars in something that is really just a bunch of guys with some ideas. But when you look at it from the rich people's point of view, the picture is more encouraging. Most rich people are looking for good investments. If you really think you have a chance of succeeding, you're doing them a favor by letting them invest. Mixed with any annoyance they might feel about being approached will be the thought: are these guys the next Google?
I've heard many people tell those who have failed to "just forget about what happened" and that the "past is the past." First, your brain doesn't work that way, especially after putting so much effort into what you tried. Second, you don't want to forget, because there were lessons in that experience that you should remember so you don't make the same mistakes again. Think about why and how the startup failed without just blaming yourself or, even worse, deciding it was everyone else's fault.
You can elect to capitalize and depreciate certain amounts paid for repair and maintenance of tangible property, even if they do not improve your property. To qualify for this election, you must treat these amounts as capital expenditures on your books and records used in computing your income. If you make this election, you must apply it to all repair and maintenance costs of tangible property that you treat as capital expenditures on your books and records for this tax year. To make the election to treat repairs and maintenance as capital expenditures, attach a statement titled "Section 1.263(a)-3(n) Election" to your timely filed original tax return (including extensions) and include your name and address, TIN, and a statement that you elect to capitalize repair and maintenance costs under section 1.263(a)-3(n). Engaging in the payment of bribes or kickbacks is a serious criminal matter. Such activity could result in criminal prosecution. What’s Raghunandan G.’s cardinal rule for a founder exiting a startup? Don’t rush into another venture, even if you feel the crushing weight of other people’s expectations. Raghunandan, co-founder of TaxiForSure, which was acquired by cab aggregator Ola in 2015, explains: “When you are running a fast-growing company, there is no time to reflect on a problem you may want to solve with your next startup. So it’s not advisable to immediately jump into something new.”
You can deduct specific bad debts that become partly uncollectible during the tax year. Your tax deduction is limited to the amount you charge off on your books during the year. You do not have to charge off and deduct your partly worthless debts annually. You can delay the charge off until a later year. However, you can’t deduct any part of a debt after the year it becomes totally worthless.
Your employees must adequately account to you for their travel, meals, and entertainment expenses. They must give you documentary evidence of their travel, mileage, and other employee business expenses. This evidence should include items such as receipts, along with either a statement of expenses, an account book, a day-planner, or similar record in which the employee entered each expense at or near the time the expense was incurred.

Talk to as many VCs as you can, even if you don't want their money, because a) they may be on the board of someone who will buy you, and b) if you seem impressive, they'll be discouraged from investing in your competitors. The most efficient way to reach VCs, especially if you only want them to know about you and don't want their money, is at the conferences that are occasionally organized for startups to present to them.
A "reimbursement or allowance arrangement" provides for payment of advances, reimbursements, and allowances for travel, meals, and entertainment expenses incurred by your employees during the ordinary course of business. If the expenses are substantiated, you can deduct the allowable amount on your tax return. Because of differences between accounting methods and tax law, the amount you can deduct for tax purposes may not be the same as the amount you deduct on your business books and records. For example, you can deduct 100% of the cost of meals on your business books and records. However, only 50% of these costs are allowed by law as a tax deduction.

The big problem with this approach – and company founders will certainly agree here – is that it doesn't reflect the company's future potential for generating sales, profits and return on investment. What's more, the cost-to-duplicate approach doesn't capture intangible assets, like brand value, that the venture might possess even at an early stage of development. Because it generally underestimates the venture's worth, it's often used as a "lowball" estimate of company value. The company's physical infrastructure and equipment may only be a small component of the actual net worth when relationships and intellectual capital form the basis of the firm.

If the proceeds were used in a nonpassive trade or business activity, report the interest on Schedule E (Form 1040), line 28; enter "interest expense" and the name of the partnership or S corporation in column (a) and the amount in column (h). If the proceeds were used in a passive activity, follow the Instructions for Form 8582 to determine the amount of interest expense that can be reported on Schedule E (Form 1040), line 28; enter "interest expense" and the name of the partnership in column (a) and the amount in column (f). If the proceeds were used in an investment activity, enter the interest on Form 4952. If the proceeds are used for personal purposes, the interest is generally not deductible.
An alternate (and polar opposite) approach is to take on fewer startup clients, but get deeply in bed with them and bet on the potential long-term upside of the company.  An example would be a consultant who spends 1/3rd of her time with a startup acting as interim CFO or marketing person, and who takes a few points of equity in the company.  This might also be structured as a small monthly retainer with a significant bonus paid when the startup closes a proper funding round or is acquired. 
A lot of young entrepreneurs underestimate the process of startups. Since startups tend to scale early, a lot of beginners screw it up. As mentioned previously, scaling is the fourth stage of startups. After your minimum viable product is matured and the core features of your products are developed, it is time for customer acquisition. The most important stage before scaling is efficiency. Because the right business model will initiate further steps.
