Back in the day, all our team members rolled up their sleeves and did everything to get things done, cutting across functional boundaries. Personally, like most other startup founders, I have done everything from C-suite presentations to being a janitor. This doesn't help when the company is scaling up. What works is specialization and deep expertise in whatever we do. In line with this, we have fine-tuned our hiring strategy and team structures.


The trouble with DCF is the quality of the DCF depends on the analyst's ability to forecast future market conditions and make good assumptions about long term growth rates. In many cases, projecting sales and earnings beyond a few years becomes a guessing game. Moreover, the value that DCF models generate is highly sensitive to the expected rate of return used for discounting cash flows. So, DCF needs to be used with much care. Business start-up and organizational costs are generally capital expenditures. However, you can elect to deduct up to $5,000 of business start-up and $5,000 of organizational costs paid or incurred after October 22, 2004. The $5,000 deduction is reduced by the amount your total start-up or organizational costs exceed $50,000. Any remaining costs must be amortized. For information about amortizing start-up and organizational costs, see chapter 8.
If you have the financial means, take some time off. Travel and eat good food and make a few new friends or find some new lovers. If you’re completely wiped out financially from living the life of a founder, do what it takes to stabilize things quickly. That might mean consulting, or even worse, taking a cushy corporate job. Do whatever it takes to rebuild a foundation for yourself. I recommend doing this before jumping back into startup life. Without a pause and chance to reset your batteries you may find yourself in the same situation again far too soon.

While most startups these days go to a Venture Capital firm like Consumer Equity Partners and tap angels like Tom Furphy (a former WebVan exec) for a seed round, Louis is ignoring the conventional route, blazing a new path and funding his latest venture through partnership agreements with companies like Toyota, who are excited to be first in line to license new technology being developed by Borders at his new venture.


A few months into my newest startup, Custom Reality Services (CRS), I lost my mother and then my sister. The grief impacted my ability to read. I negotiated a leave of absence for six months. I resigned from all of my boards. My recovery needed to be put first. Thankfully, I had partners who were willing to make room for me. If that isn’t your situation, you still matter. Get into conversation with your key stakeholders (e.g., co-founders, board and/or partners) to figure out how to make a leave of absence work or how to exit gracefully. There are things in life you cannot muscle through.
Besides being cheaper and better to work in, apartments tend to be in better locations than office buildings. And for a startup location is very important. The key to productivity is for people to come back to work after dinner. Those hours after the phone stops ringing are by far the best for getting work done. Great things happen when a group of employees go out to dinner together, talk over ideas, and then come back to their offices to implement them. So you want to be in a place where there are a lot of restaurants around, not some dreary office park that's a wasteland after 6:00 PM. Once a company shifts over into the model where everyone drives home to the suburbs for dinner, however late, you've lost something extraordinarily valuable. God help you if you actually start in that mode.
You can choose to reimburse your employees using an FAVR allowance. This is an allowance that includes a combination of payments covering fixed and variable costs, such as a cents-per-mile rate to cover your employees' variable operating costs (such as gas, oil, etc.) plus a flat amount to cover your employees' fixed costs (such as depreciation, insurance, etc.). Generally, you must file the return by the due date (including any extensions). This is the additional value of a trade or business that attaches to property because the property is an integral part of an ongoing business activity. It includes value based on the ability of a business to continue to function and generate income even though there is a change in ownership (but does not include any other section 197 intangible). It also includes value based on the immediate use or availability of an acquired trade or business, such as the use of earnings during any period in which the business would not otherwise be available or operational.
The 50% deduction limit applies to reimbursements you make to your employees for expenses they incur for meals while traveling away from home on business and for entertaining business customers at your place of business, a restaurant, or another location. It applies to expenses incurred at a business convention or reception, business meeting, or business luncheon at a club. The deduction limit may also apply to meals you furnish on your premises to your employees.
Be cautious when receiving suspicious calls at home or at work from sources claiming to be from the IRS, other agencies, or outside sources asking for money or credit card information, or threatening to have you arrested for not paying. These callers may demand money or may say you have a refund due and try to trick you into sharing private information. These con artists can sound convincing when they call. They may know a lot about you.
A kickback is a payment for referring a client, patient, or customer. The common kickback situation occurs when money or property is given to someone as payment for influencing a third party to purchase from, use the services of, or otherwise deal with the person who pays the kickback. In many cases, the person whose business is being sought or enjoyed by the person who pays the kickback isn’t aware of the payment.
You can elect to deduct only the costs of items with no salvage value. These include wages, fuel, repairs, hauling, and supplies related to drilling wells and preparing them for production. Your cost for any drilling or development work done by contractors under any form of contract is also an IDC. However, see Amounts paid to contractor that must be capitalized , later.

Unlike at previous roles, there are no rigid channels you have to go through to get approval for an idea to be implemented here. There are less politics involved [in decision-making], and your opinions are much more valued. In my experience, you feel like you have a seat at the table, you’re no longer one of many—you’re one of few, and that’s a great feeling.
A year later, everything is just fine. It only took me about three months to land a job I love at a great company. As for the process of returning to the corporate world and explaining my failure to hiring managers? It wasn't nearly as bad as you would think. I focused on the positives like the experience of pitching to C-level executives, managing contractors and having to become an expert on a new industry in a compressed time frame. Most hiring managers saw my startup experience as a positive. If they were concerned about anything, it was over whether I would leave their company to jump back into the startup world.

You can reimburse your employees under an accountable plan based on travel days, miles, or some other fixed allowance. In these cases, your employee is considered to have accounted to you for the amount of the expense that doesn’t exceed the rates established by the federal government. Your employee must actually substantiate to you the other elements of the expense, such as time, place, and business purpose.
History has taught us how hard it can be to call the timing of a market transition. We have seen this play out first hand in the commercial drone marketplace. We were the pioneers in this market and one of the first to see the power drones could have in the commercial sector. Unfortunately, the market took longer to mature than we expected. As we worked through the various required pivots to position ourselves for long term success, we ran out of financial runway. As a result, it is with a heavy heart that we notified our team, customers, and partners that we will wind down the business.
Just as the narrative is moving away from glamorizing the founder experience, let’s do the same for team members working at startups. Working at startups can be incredibly challenging for everyone. It is OK to need time off and away from your phones and devices. It is OK to want functioning, adult, professional leadership. It is OK to want a clear understanding of the expectations of you and to communicate your expectations of your employer in return. It is OK to tell people that your startup is hard or dysfunctional or that working there really sucks right now. It is OK to leave and find something that is a better fit for you. You don’t have to sacrifice yourself to be valuable.

Rather than amortize, a business can choose to capitalize startup and organizational expenses if the 1st tax return for the business treats the costs as such and is filed by the due date, including extensions. The election to amortize or capitalize is irrevocable. For a business entity organized as a corporation or partnership, only the corporation or partnership can make the election, not shareholders or partners. However, a partner can make the election for any costs incurred in investigating the partnership interest.
Although you generally cannot take a current deduction for a capital expense, you may be able to recover the amount you spend through depreciation, amortization, or depletion. These recovery methods allow you to deduct part of your cost each year. In this way, you are able to recover your capital expense. See Amortization (chapter 8) and Depletion (chapter 9) in this publication. A taxpayer can elect to deduct a portion of the costs of certain depreciable property as a section 179 deduction. A greater portion of these costs can be deducted if the property is qualified disaster assistance property. See Pub. 946 for details.
You generally cannot deduct expenses in advance, even if you pay them in advance. This applies to prepaid interest, prepaid insurance premiums, and any other prepaid expense that creates an intangible asset. If you pay an amount that creates an intangible asset, then you must capitalize the amounts paid and begin to amortize the payment over the appropriate period.

You can deduct specific bad debts that become partly uncollectible during the tax year. Your tax deduction is limited to the amount you charge off on your books during the year. You do not have to charge off and deduct your partly worthless debts annually. You can delay the charge off until a later year. However, you can’t deduct any part of a debt after the year it becomes totally worthless.

Juicero’s demise was not unexpected. Its collapse was the consequence of unsustainable costs, unflattering headlines and a bungled product launch. After attracting about $134 million in funding from such illustrious investors as Google Ventures and Kleiner Perkins Caufield & Byers, Juicero was losing about $4 million a month. Four years after its founding, the startup was unable to find new backers willing to fund its ambition of making fresh juice accessible to all.

Another way to say that is, if you try to start the kind of startup that has to be a big consumer brand, the odds against succeeding are steeper. The best odds are in niche markets. Since startups make money by offering people something better than they had before, the best opportunities are where things suck most. And it would be hard to find a place where things suck more than in corporate IT departments. You would not believe the amount of money companies spend on software, and the crap they get in return. This imbalance equals opportunity.
You own a section 197 intangible you have amortized for 4 full years. It has a remaining unamortized basis of $30,000. You exchange the asset plus $10,000 for a like-kind section 197 intangible. The nonrecognition provisions of like-kind exchanges apply. You amortize $30,000 of the $40,000 adjusted basis of the acquired intangible over the 11 years remaining in the original 15-year amortization period for the transferred asset. You amortize the other $10,000 of adjusted basis over a new 15-year period. For more information, see Regulations section 1.197-2(g).
Each member of our now pared-down team knew exactly how much runway the company had remaining, the status of our strategic talks, and the acknowledged long odds we faced as a going concern. To their credit, they remained focused, productive and on-task until our final day — a remarkable expression of dedication to the mission and to each other. Sadly, and in spite of the achievements, we simply ran out of time and cash to finish the job.

The Right to a Fair and Just Tax System. Taxpayers have the right to expect the tax system to consider facts and circumstances that might affect their underlying liabilities, ability to pay, or ability to provide information timely. Taxpayers have the right to receive assistance from the TAS if they are experiencing financial difficulty or if the IRS has not resolved their tax issues properly and timely through its normal channels.


…we most definitely committed the all-too-common sin of premature scaling. Driven by the desire to hit significant numbers to prove the road for future fundraising and encouraged by our great initial traction in the student market, we embarked on significant work developing paid marketing channels and distribution channels that we could use to demonstrate scalable customer acquisition. This all fell flat due to our lack of product/market fit in the new markets, distracted significantly from product work to fix the fit (double fail) and cost a whole bunch of our runway.
For start-up or organizational costs paid or incurred after September 8, 2008, an accompanying statement is not required. Generally, for start-up or organizational costs paid or incurred before September 9, 2008, and after October 22, 2004, unless you choose to apply Regulations sections 1.195-1, 1.248-1, and 1.709-1, you also must attach an accompanying statement to elect to amortize the costs.
“I think a lot of times that entrepreneurs of any age get blown away by their idea and vision for their idea and get super passionate about it,” she said. They need also to understand the competitive landscape and know if their numbers are reasonable. Founders need to tell their story in a way that gives investors confidence they know what they’re doing, she added.
I think the reason I made such a mystery of business was that I was disgusted by the idea of doing it. I wanted to work in the pure, intellectual world of software, not deal with customers' mundane problems. People who don't want to get dragged into some kind of work often develop a protective incompetence at it. Paul Erdos was particularly good at this. By seeming unable even to cut a grapefruit in half (let alone go to the store and buy one), he forced other people to do such things for him, leaving all his time free for math. Erdos was an extreme case, but most husbands use the same trick to some degree.
A big problem at Atrato has been sales. The boxes simply didn’t sell in large enough numbers. . . The new executives couldn’t turn the company around on their own, and by June of this year, it was looking for new funding and what was called a rebirth. Up to a quarter of its staff were laid off, and the company’s strategy changed so that Atrato focussed more on software than hardware. It also intended to promote OEM sales more.

Resist the urge to start over. There’s always a feeling that if you just rebooted, you’ll somehow avoid the Trough of Sorrow. Not true. Trust your initial instincts in your market and in your product, and figure out how to guide it into a similar place. If smart people invested in you and in the market, there’s probably something there, but you have to find it.

Finally, there is the development stage valuation approach, often used by angel investors and venture capital firms to quickly come up with a rough-and-ready range of company value. Such "rule of thumb" values are typically set by the investors, depending on the venture's stage of commercial development. The further the company has progressed along the development pathway, the lower the company's risk and the higher its value. A valuation-by-stage model might look something like this:

Startup costs of a subsidiary corporation paid by the parent prior to the subsidiary corporation's commencing business operations must be treated as capital contributions to the new subsidiary (Specialty Restaurants Corp., T.C. Memo. 1992-221). A decision can be made to deduct these capitalized costs. Some uncertainty exists as to whether the subsidiary or the parent makes the decision. Based on Specialty Restaurants, it appears that as a separate legal entity each subsidiary should make its own election. However, Regs. Sec. 1.1502-77 provides that the parent must make elections for a subsidiary that is included in the consolidated return.

The rules for section 197 intangibles do not apply to any amount that is included in determining the cost of property that is not a section 197 intangible. For example, if the cost of computer software is not separately stated from the cost of hardware or other tangible property and you consistently treat it as part of the cost of the hardware or other tangible property, these rules do not apply. Similarly, none of the cost of acquiring real property held for the production of rental income is considered the cost of goodwill, going concern value, or any other section 197 intangible.

A shareholder or partner cannot make this election. You, as a shareholder or partner, cannot amortize any costs you incur in setting up your corporation or partnership. Only the corporation or partnership can amortize these costs.

Preventing slavery and human trafficking. Human trafficking is a form of modern-day slavery, and involves the use of force, fraud, or coercion to exploit human beings for some type of labor or commercial sex purpose. The United States is a source, transit, and destination country for men, women, and children, both U.S. citizens and foreign nationals, who are subjected to the injustices of slavery and human trafficking, including forced labor, debt bondage, involuntary servitude, "mail-order" marriages, and sex trafficking. Trafficking in persons can occur in both lawful and illicit industries or markets, including in hotel services, hospitality, agriculture, manufacturing, janitorial services, construction, health and elder care, domestic service, brothels, massage parlors, and street prostitution, among others. The President’s Interagency Task Force to Monitor and Combat Trafficking in Persons (PITF) brings together federal departments and agencies to ensure a whole-of-government approach that addresses all aspects of human trafficking. The market multiple approach, arguably, delivers value estimates that come closes to what investors are willing to pay. Unfortunately, there is a there is hitch: comparable market transactions can be very hard to find. It's not always easy to find companies that are close comparisons, especially in the star-up market. Deal terms are often kept under wraps by early stage, unlisted companies – the ones that probably represent the closest comparisons. A kickback is a payment for referring a client, patient, or customer. The common kickback situation occurs when money or property is given to someone as payment for influencing a third party to purchase from, use the services of, or otherwise deal with the person who pays the kickback. In many cases, the person whose business is being sought or enjoyed by the person who pays the kickback isn’t aware of the payment.
Well from my experience, I had to refocus, retool then try again in another venture. So after my first start up failed. I got a Job and didn't work on any new project for a while (around 18 months). After a while, I started to look at different projects I wanted to work on, develop some proof of concept and tried to get mentor ship early out. I gave this account the sysadmin server role in SQL Server. To do this, open SQL Server Management Studio and log in to the database engine. Drill down into Security, and then Logins. Right click on the user that runs SQL Server Agent, and choose properties. Under Select a page in the top left corner of the properties window, click on Server Roles. Enable the sysadmin role by clicking on the check box in the Server Roles pane, and then click on OK.

You can usually deduct the cost of furnishing meals and lodging to your employees. Deduct the cost in whatever category the expense falls. For example, if you operate a restaurant, deduct the cost of the meals you furnish to employees as part of the cost of goods sold. If you operate a nursing home, motel, or rental property, deduct the cost of furnishing lodging to an employee as expenses for utilities, linen service, salaries, depreciation, etc.
If you use the cash method of accounting, you generally report income when you receive payment. You can’t claim a bad debt deduction for amounts owed to you because you never included those amounts in income. For example, a cash basis architect can’t claim a bad debt deduction if a client fails to pay the bill because the architect's fee was never included in income.
Under the uniform capitalization rules, you must capitalize the direct costs and part of the indirect costs for certain production or resale activities. Include these costs in the basis of property you produce or acquire for resale, rather than claiming them as a current deduction. You recover the costs through depreciation, amortization, or cost of goods sold when you use, sell, or otherwise dispose of the property.

There are many stereotypes about age and career performance. These stereotypes have repeatedly been disproven over the years. A 1989 study of 535 sales people in the US assessed career decisions and job attitudes against career stages. The research showed that people later in their career were less likely to leave, had fewer promotion aspirations but had higher performance and greater job involvement.
· Draw. I sat in a room by myself with the door closed and a giant white board. I divided it in halves. On one side, I wrote down all the stuff I was good at and all the stuff my remaining cofounder was good at. One the other side, I wrote down how the software product we’d been building lined up with those strengths. It didn’t. This was obvious–we’d failed, after all–but it it was conclusive to see there on the big board and it gave me the right grounding to find something else.

For partnerships and corporations, organization costs for tax purposes are costs incurred in forming a partnership or corporation, including the legal fees for drafting a partnership agreement or corporate charter and bylaws, necessary accounting services in forming the entity, filing fees, and costs of organizational meetings of stockholders and directors (Sec. 709(b)(3) and Regs. Secs. 1.709-2(a) and 1.248-1(b)(2)). Corporate reorganization costs are not organization costs unless they directly relate to the creation of a new corporation (Regs. Sec. 1.248-1(b)(4)).

The key to productivity is for people to come back to work after dinner. Those hours after the phone stops ringing are by far the best for getting work done. Great things happen when a group of employees go out to dinner together, talk over ideas, and then come back to their offices to implement them. So you want to be in a place where there are a lot of restaurants around, not some dreary office park that's a wasteland after 6:00 PM. Once a company shifts over into the model where everyone drives home to the suburbs for dinner, however late, you've lost something extraordinarily valuable. God help you if you actually start in that mode.

I have failed more times then I succeeded and in most situation I would go back to salaried/contractual work, relax for some time enjoying 9-to-5 working hours, rebuild financials, get bored, start it all over. I think taking a break is the most important part as it gives time to recharge, analyze what went wrong and what I would do better next time.
During the growth phase, your product has set a firm foot in the market. With the brand generating a loyal customer base, this is the phase where a brand essentially moves out of the breakeven phase and generates revenue. During the growth phase, expansion of the company is a must as quantity will bring revenue and reach is increased by moving out from your tested zone.
