India's startup culture, Raghunandan believes, doesn't take voting rights seriously. “With today's trend of four-five co-founders, no single founder has more than a 10% stake in the company. If voting rights were important, I can't think of how many people would have got replaced. It was a huge deal when Kalyan (Krishnamurthy) replaced Binny as CEO but we don't have too many examples of that kind,” he explains.
Retirement accounts: Tapping into 401(k)s and individual retirement accounts (IRAs) to fund your brewery can be a risky strategy, as you are putting your retirement funds at risk. You’ll also face fees and taxes. The IRS allows a financing strategy known as a Rollover as Business Start-Up to avoid taxes and penalties, but the transaction is fairly complex, so hiring a professional is likely a smart move.

But failure definitely isn’t the end of the world because there is always a way to bounce back quickly from a gloomy past. As Bill Gates once said, “It’s fine to celebrate success but it is more important to heed the lessons of failure." Therefore, we are sharing a few important tips for entrepreneurs for bouncing back after a failed startup :

If the proceeds were used in a passive activity, follow the Instructions for Form 8582 to determine the amount of interest expense that can be reported on Schedule E (Form 1040), line 28; enter "interest expense" and the name of the partnership in column (a) and the amount in column (f). If the proceeds were used in an investment activity, enter the interest on Form 4952. If the proceeds are used for personal purposes, the interest is generally not deductible.
The Right To Challenge the IRS’s Position and Be Heard. Taxpayers have the right to raise objections and provide additional documentation in response to formal IRS actions or proposed actions, to expect that the IRS will consider their timely objections and documentation promptly and fairly, and to receive a response if the IRS does not agree with their position.

You can also deduct the cost of your own education (including certain related travel) related to your trade or business. You must be able to show the education maintains or improves skills required in your trade or business, or that it is required by law or regulations, for keeping your license to practice, status, or job. For example, an attorney can deduct the cost of attending Continuing Legal Education (CLE) classes that are required by the state bar association to maintain his or her license to practice law.
I have failed more times then I succeeded and in most situation I would go back to salaried/contractual work, relax for some time enjoying 9-to-5 working hours, rebuild financials, get bored, start it all over. I think taking a break is the most important part as it gives time to recharge, analyze what went wrong and what I would do better next time.

No one is making any money.”… the music industry has been hit hard with cannibalisation from digital sales and piracy. And the promise of new revenues, on the back of the explosion in mobile and internet usage, have yet to materialise for most music companies, with Apple’s iTunes dominating the market with more than a 60 percent share.
You can usually deduct as a business expense the cost of institutional or goodwill advertising to keep your name before the public if it relates to business you reasonably expect to gain in the future. For example, the cost of advertising that encourages people to contribute to the Red Cross, to buy U.S. Savings Bonds, or to participate in similar causes is usually deductible.
Launching this globally would have required lots of funding in order to get production and logistics to work well internationally. Getting deals with big international companies was hard and plugging into their production pipeline turned out to be technically impossible, since they did not have any APIs. It’s hard to tell whether this would have worked, since we were running out of money and had to leave it there. Potential investors were not too crazy about investing in a declining market either. The numbers did not fully work out.
The business startup deduction can be claimed in the tax year that the business became active. However, if you anticipate showing a loss for the first few years, consider amortizing the deductions to offset profits in later years. This would require filing IRS Form 4562 in your first year of business. You can choose from different amortization schedules, but once you have selected it, you can't change it. Consult with your tax advisor before making this decision.

No matter how close of friends, how much you trust each other or how good your intentions are money comes between people and everyone over estimates their own contributions. Furthermore, founders become highly emotional about their companies. Thus, the process of negotiating taking back stock from founders is not rational and inherently very difficult. However, vesting schedules reduce the difficult negotiation to simply and mechanically exercising the companies pre-agreed right to repurchase stock at the price it was issued. I foolishly let myself fall into the “it won’t happen to me” trap but no startup gets it right on the first try and theses hiccups often lead to changes in the team. Believing that any startup won’t have to deal with stock vesting issues is totally unrealistic.
Business start-up and organizational costs are generally capital expenditures. However, you can elect to deduct up to $5,000 of business start-up and $5,000 of organizational costs paid or incurred after October 22, 2004. The $5,000 deduction is reduced by the amount your total start-up or organizational costs exceed $50,000. Any remaining costs must be amortized. Trafficking in persons can occur in both lawful and illicit industries or markets, including in hotel services, hospitality, agriculture, manufacturing, janitorial services, construction, health and elder care, domestic service, brothels, massage parlors, and street prostitution, among others. The President’s Interagency Task Force to Monitor and Combat Trafficking in Persons (PITF) brings together federal departments and agencies to ensure a whole-of-government approach that addresses all aspects of human trafficking. Online resources for recognizing and reporting trafficking activities, and assisting victims include the Department of Homeland Security (DHS) Blue Campaign at DHS.gov/blue-campaign, the Department of State Office to Monitor and Combat Trafficking in Persons at State.gov/j/tip, and the National Human Trafficking Resource Center (NHTRC) at humantraffickinghotline.org. DHS is responsible for investigating human trafficking, arresting traffickers, and protecting victims. DHS also provides immigration relief to non-U.S. citizen victims of human trafficking. Victims are crucial to investigations and prosecutions; each case and every conviction changes lives. If warranted, financial institutions should file a Suspicious Activity Report (FinCEN 112) with FinCEN to report these activities. In an interview with OIS Weekly, ReVision president and CEO John Kilcoyne called the presbyopia segment “very challenging.” He said the reason for shuttering ReVision was that the company “could not get the business to grow fast enough.” The firm would have needed significantly more capital to achieve positive cash flow, and the investors … were reluctant to put more money in.
Having a great long-term marriage (or other partnership) takes conscious effort and commitment and this book is a reminder of that and contains many suggestions on how to make your partnership even better. Brad and Amy are amazingly open in this book as are many other couples who contributed and this is what makes the book so helpful but also so special. It is a great reminder about communication, thinking about each partners unique strengths and weaknesses as well as unique needs.

Although sales and profits remain stable over the years, competition keeps increasing. This phase is mostly marked by consolidation, where the entrepreneur is faced by a dilemma of having to choose between whether to keep expanding or make an exit. Operations become very complex at this stage with the CEO having to make both short and long term decisions.
#2: Reflect and learn. The first startup I worked at failed (I was the first employee, head of product and a key part of the leadership when it failed). I wrote down everything that I thought went right and wrong. It was not only cathartic, but it helped crystallize several life and business lessons. It also provided me with the insight to start another business.
If your business is organized as a corporation or partnership, only the corporation or partnership can elect to amortize its start-up or organizational costs. A shareholder or partner cannot make this election. You, as a shareholder or partner, cannot amortize any costs you incur in setting up your corporation or partnership. Only the corporation or partnership can amortize these costs.
I've heard many people tell those who have failed to "just forget about what happened" and that the "past is the past." First, your brain doesn't work that way, especially after putting so much effort into what you tried. Second, you don't want to forget, because there were lessons in that experience that you should remember so you don't make the same mistakes again. Think about why and how the startup failed without just blaming yourself or, even worse, deciding it was everyone else's fault.

You can file a revised statement to include any start-up costs not included in your original statement. However, you cannot include on the revised statement any cost you previously treated on your return as a cost other than a start-up cost. You can file the revised statement with a return filed after the return on which you elected to amortize your start-up costs.
Hiring is hard, and without proper experience, we should have leaned more heavily on our investors to help us with this decision. Hiring was a challenge we found difficult throughout the life of our Company. We made as many bad decisions as we did good ones with regard to hiring full time, part time, and independent contractors/consultants. Biggest takeaway: As soon as the data starts to suggest someone might be the wrong hire, don’t wait, immediately start recruiting a replacement, and upgrade as soon as possible.
Special rules apply to compensation you receive for damages sustained as a result of patent infringement, breach of contract or fiduciary duty, or antitrust violations. You must include this compensation in your income. However, you may be able to take a special deduction. In reward-based crowdfunding, contributors are promised rewards (such as the ability to purchase a product) in exchange for their contributions. If more than one person is covered, figure separately the amount to enter for each person. Then enter the total of those amounts 2.  
For a variety of reasons, more on the side of the money guys and not because of us, the transaction didn’t go through … We had several groups looking to acquire us, and for a variety of reasons those didn’t pan out … We were building an enterprise software platform. It was a very expensive proposition, with high potential rewards … There was a high demand and high interest in what we were doing. That is what was so disappointing. I think you will see several companies license our technology … This has nothing to do with the competition. It has to do with the funding issue. I think there is huge demand for new approaches with game engine technology.
As the industry approaches maturity, the industry life cycle curve becomes noticeably flatter, indicating slowing growth. Some experts have labeled an additional stage, called expansion, between growth and maturity. While sales are expanding and earnings are growing from these "cash cow" products, the rate has slowed from the growth stage. In fact, the rate of sales expansion is typically equal to the growth rate of the economy.

The cost of food and beverages you provide primarily to your employees on your business premises is deductible. This includes the cost of maintaining the facilities for providing the food and beverages. These expenses are subject to the 50% limit unless they qualify as a de minimis fringe benefit, as just discussed, or unless they are compensation to your employees (explained later).
The Social Radio began as a side project … raised money as a startup, and then became side project again when we couldn’t scale it. We didn’t see it getting big enough to have the impact we had hoped for, so we stopped updating the apps as our lives and jobs became busy, but people kept using them and we believed in the product, so we kept the apps running. 1. Analyze the failure. After CB Insights combed through the post-mortem blog posts of more than 200 failed startups, they ultimately reduced the most common causes of startup failure to a relatively short list. Chances are, the root causes of your business’s failure are identifiable and common. Spend some time looking over your business’s history, even if it’s short, and see if you can recognize the main causes of failure, as well as the decisions that led to those causes. The better you understand this, the more likely you’ll be to prevent those outcomes in the future.

A taxpayer that elects to deduct and amortize startup costs may deduct up to $5,000 of startup costs in the year the active conduct of the business begins (Sec. 195(b)(1)(A)). The taxpayer amortizes any startup costs over the deduction limit for 180 months beginning in the month the active conduct of the business to which the costs relate begins (Sec. 195(b)(1)(B)). Because costs that qualify as startup costs will be deductible as ordinary and necessary business expenses when the business becomes active, a taxpayer might want to begin the active conduct of the business before startup costs exceed $5,000. This will help the taxpayer avoid having to amortize costs rather than taking a current deduction.
However, you may currently deduct the costs of repairs or maintenance that do not improve a unit of property. This generally includes the costs of routine repairs and maintenance to your property that result from your use of the property and that keep your properly in an ordinary efficient operating condition. For example, deductible repairs include costs such as painting exteriors or interiors of business buildings, repairing broken window panes, replacing worn-out minor parts, sealing cracks and leaks, and changing oil or other fluids to maintain business equipment.
Leap, which raised $2.5 million from some of the industry’s best-known investors, charged riders $6 to get across San Francisco, nearly three times the cost of riding a city bus. Its primary draw was luxury. Each bus had a wood-trimmed interior outfitted with black leather seats, individual USB ports and Wi-Fi. The buses also offered a steady stream of high-end snacks, sold via app.
We believe that group learning is very important for organizations to excel. Even when you have individual superstars, a lot depends on how these individuals come together, learn to respect each others' points of view and arrive at solutions that are out-of-the-box. Premature scaling often includes spending too many unnecessary money on growing the business. The pressure of succeeding and growing can make the startup insecure and undisciplined. Startups with too much capital tend to overhire, overbuild and of course to overspend. Before you start looking for funds, you should think twice about it if you really need it.
