“Quick update: things are currently looking positive for paychecks to go out tomorrow,” Meyer said in a June 29 memo. Fresco’s employees spent the next day awaiting news about their paychecks, only to find out that Meyer was having an “emergency meeting with executives” in the afternoon. Around 4 p.m., Fresco’s head of community marketing, Johnathan Hamiter, began sending employees private Slack messages saying funding seemed “pretty bleak” and encouraging them to look for other jobs.

This is very similar to the concierge method. In fact, it’s nearly identical, except with one difference: you’re still delivering your Value Proposition manually, but it looks like it’s automated. This method adds a little magic to your solution, as the name implies. The work is still being done in the background, but behind a curtain so that the customer doesn’t see what’s going on. In this case, the automation is part of the Value Proposition, and the onus is on you to work out the magic later.
Culture and language define a lot. I was shocked to discover how different people could be mentality-wise living with me on the same planet. Koreans are aliens. Or should I say — we are aliens here? The way they do business is incomprehensible. The bureaucracy and rules that simply don’t make sense are excruciating. The academic culture in South Korea is a whole different story and I guess deserves a separate analysis. The struggle was real.
We didn’t see a business model that would have been viable long term. Regulators are starting to pay attention to the [cryptocurrency] space, and activities around blockchain assets (tokens exchanges, ICO tools and services, etc.) are likely to become heavily regulated in the next 5 years. That means some of these services will have to shut down or restrict their activities, some might go to prison, and only a small number of well capitalized companies will successfully adapt to the regulator’s demands.
I think the reason I made such a mystery of business was that I was disgusted by the idea of doing it. I wanted to work in the pure, intellectual world of software, not deal with customers' mundane problems. People who don't want to get dragged into some kind of work often develop a protective incompetence at it. Paul Erdos was particularly good at this. By seeming unable even to cut a grapefruit in half (let alone go to the store and buy one), he forced other people to do such things for him, leaving all his time free for math. Erdos was an extreme case, but most husbands use the same trick to some degree.
The reasons are that 1) our revenues do not cover our costs, and 2) we are not able to close a third fundraiser…. In March 2016, after having been rejected by 114 VC funds, we signed a term sheet with a French, state-owned, logistics group, for a 30M euro investment. Unfortunately, after 3 months of intensive due diligence, their board rejected the deal and they ended up withdrawing their offer. We were negotiating with them under an exclusivity agreement, didn’t have a plan B, and only had a couple of weeks of run-way left..
The election to amortize is made on Form 4562, Depreciation and Amortization, which must be attached to the return for the 1sttax year of the business. If the business has both startup and organizational costs, then a separate statement should be attached for each. For the cash method of accounting, the expenses must have been paid by the end of the tax year, not including any extensions.

No one likes someone who is too aggressive, but looking back, my idea of “too aggressive” could probably fit very nicely into the “persistent” bucket, which, quite frankly, is not enough when raising money. My father told me that, especially as a woman, to never be afraid to ask for what I want or to remind others of their commitments. People these days are busy, forgetful and over-scheduled; it’s quite possible my three emails each got buried, so a fourth or fifth email (not daily, though; maybe weekly) would have served me well. I’ll never know.

There are so many opportunities to create clones out there. Uber for pets, Facebook for kids, Airbnb for parking places. First of all, when you pitch your idea like this it sounds like a copycat which is really bad. Secondly, if there is no innovation from zero to one there is a very little chance that your company will become great just because your execution is excellent.


Usually angels are financially equivalent to founders. They get the same kind of stock and get diluted the same amount in future rounds. How much stock should they get? That depends on how ambitious you feel. When you offer x percent of your company for y dollars, you're implicitly claiming a certain value for the whole company. Venture investments are usually described in terms of that number. If you give an investor new shares equal to 5% of those already outstanding in return for $100,000, then you've done the deal at a pre-money valuation of $2 million.

There are three types of start-up expenses that you can amortize: (1) expenses incurred in investigating the creation or acquisition of a business; (2) expenses incurred in connection with creating a business; and (3) expenses incurred in connection with an activity engaged in for profit and for the production of income before business begins, in anticipation of the activity becoming an active business. These expenses can be deducted only once business operations have commenced. Note, however, that interest expenses, taxes, and research and experimental expenditures are excluded from start-up expenses, because they are currently deductible under special rules and, thus, are not required to be amortized.


I like to joke that the dumbest business model for a professional services firm is to spread one's time and effort among a large number of small clients with limited cash, sporadic workflow, extra cost sensitivity, and a propensity to go out of business. Thus, it is important to correctly account for startup costs to ensure that the costs are treated appropriately for tax purposes and in the manner that is most beneficial to the taxpayer.

Product life cycle management or PLM is not merely technology but an essential business approach to managing a product from its conception to its decline. Goldberg began fund-raising in the spring but he quickly discovered money was harder to round up than he'd anticipated. He also began to see that Fab had serious issues, caused by growth tactics the company had implemented in 2012. Europe, Goldberg realized, was a disaster. And users who had been acquired through aggressive Facebook-marketing campaigns weren't showing strong repeat buying patterns.

Failure is one of the best learning experiences you can have as a founder. Unfortunately, it’s just a lot to go through emotionally, and you’re going to have many feelings surrounding it. Sometimes the best thing you can do with those feelings and with what you’re learning from failure is to share them. This will help you to get your feelings off your chest, and if you share what you are learning with other founders, they can learn from your mistakes, too. This takes the form of a “startup post mortem” where you share openly about what happened and any lessons learned. You may actually find that writing about a failure is incredibly therapeutic. "Uh-oh" moment: Eighteen months later, he hit a wall. "You're hopeful to the end, but we were flat out of money and couldn't meet payroll," he says. Huh tried raising more money, but the dot-com crash was in full effect, and there was none to be had. For two weeks, he says, he could barely leave his room. "These investors had put a fortune on their faith in me, and you feel like you should have rewarded their faith," he recalls. "You feel like you can't do another company again."
Consider a scenario where you successfully open your cake shop for business on 25 October. You incurred $4,500 of start-up cost before your cake shop became operational. You can avail full deduction of the start-up cost in the first year itself. Since the amount of deduction claimed is less that $5,000, there is no cost left to be amortized for the next 180 months.
Back in the day, all our team members rolled up their sleeves and did everything to get things done, cutting across functional boundaries. Personally, like most other startup founders, I have done everything from C-suite presentations to being a janitor. This doesn't help when the company is scaling up. What works is specialization and deep expertise in whatever we do. In line with this, we have fine-tuned our hiring strategy and team structures.
This is the additional value of a trade or business that attaches to property because the property is an integral part of an ongoing business activity. It includes value based on the ability of a business to continue to function and generate income even though there is a change in ownership (but does not include any other section 197 intangible). It also includes value based on the immediate use or availability of an acquired trade or business, such as the use of earnings during any period in which the business would not otherwise be available or operational.
If, to promote employee goodwill, you distribute food or merchandise of nominal value to your employees at holidays, you can deduct the cost of these items as a nonwage business expense. Your deduction for de minimis gifts of food or drink aren't subject to the 50% deduction limit that generally applies to meals. During this time I was also very involved in the startup community around Boulder. I was a die hard regular at #BOCC, attended Ignite, helped organize events for Boulder Startup Week, and made regular appearances at a litany of other startup and tech events. If you met me during this time, you would have never known how awful I truly felt. I regularly espoused how amazing things were. How excited and grateful I was for my job. Example 4. Expanding versus creating a new business: Using the same facts as in Examples 2 and 3, Goodco establishes a new taxable entity to operate its new store location. The preopening costs for recruiting and training new employees and the advertising costs are now subject to Sec. 195. The legal fees and prepaid insurance costs are still subject to capitalization under Sec. 263(a). In addition, Goodco would have to capitalize costs related to the organization of the new entity, which would fall under the rules of Sec. 248.
Generally, as an independent producer or royalty owner, you figure your percentage depletion by figuring your average daily production of domestic oil or gas and comparing it to your depletable oil or gas quantity. If your average daily production does not exceed your depletable oil or gas quantity, you figure your percentage depletion by multiplying the gross income from the oil or gas property (defined later) by 15% (0.15). If your average daily production of domestic oil or gas exceeds your depletable oil or gas quantity, you must make an allocation as explained later under Average daily production.

While it is possible to work with friends and family, it requires completely honest communication, both parties must understand that it really is nothing personal, and, perhaps most importantly, vest your ownership. It’s always best practice to ensure that you legally protect yourself and your assets, a promise between friends rarely holds up in the court of law.
For more-than-2% shareholders, a policy can be either in the name of the S corporation or in the name of the shareholder. You can either pay the premiums yourself or the S corporation can pay them and report the premium amounts on Form W-2 as wages to be included in your gross income. However, if the policy is in your name and you pay the premiums yourself, the S corporation must reimburse you and report the premium amounts on Form W-2 in box 1 as wages to be included in your gross income. Otherwise, the insurance plan won’t be considered to be established under your business.

Reforestation costs are generally capital expenditures. However, you can elect to deduct up to $10,000 ($5,000 if married filing separately; $0 for a trust) of qualifying reforestation costs paid or incurred after October 22, 2004, for each qualified timber property. If your business manufactures products or purchases them for resale, you generally must value inventory at the beginning and end of each tax year to determine your cost of goods sold. Some of your business expenses may be included in figuring cost of goods sold. Cost of goods sold is deducted from your gross receipts to figure your gross profit for the year. If you include an expense in the cost of goods sold, you cannot deduct it again as a business expense.
Also, funds that you spend to qualify to get into the business or profession does not qualify as start up costs. Thus, costs incurred to get a real estate license, which has an unlimited duration as long as you pay fees and get continuing education, aren’t qualified start up costs.  The same can be said for CPA exam preparation and licenses, bar review courses and licenses and getting an undergraduate bachelors degree. However, other than getting yourself qualified for the new profession or trade or business, any monies spent on investigating these business would be a qualified start-up expenses.

For most startups – especially those that have yet to start generating earnings – the bulk of the value rests on future potential. Discounted cash flow analysis then represents an important valuation approach. DCF involves forecasting how much cash flow the company will produce in the future, and then, using an expected rate of investment return, calculating how much that cash flow is worth. A higher discount rate is typically applied to startups, as there is a high risk that the company will inevitably fail to generate sustainable cash flows.

You generally cannot deduct or capitalize a business expense until economic performance occurs. If your expense is for property or services provided to you, or for your use of property, economic performance occurs as the property or services are provided, or the property is used. If your expense is for property or services you provide to others, economic performance occurs as you provide the property or services.

Just as industries experience life cycles, studies have documented life cycles in many other areas. Countries have life cycles, for example, and we traditionally classify them as ranging from the First World countries to Third World or developing countries, depending on their levels of capital, technological change, infrastructure, or stability. Products also experience life cycles. Even within an industry, various individual companies may be at different life cycle stages depending upon when they entered the industry. The life cycle phenomenon is an important and universally accepted concept to help managers better understand sales growth and change over time.


What each of these options does is provide a situation where you can regain some sense of satisfaction or accomplishment from your present position in life. This is very necessary as part of the recovery process that you will have to go through to move on from startup failure. It also gives you the time to think about other things, which often stimulates creativity and gets those juices flowing again, motivating you to try something new. The new job, trip or volunteer work may also trigger a new passion that can signal a potential new direction.
A US term for a form of equity ownership of a company, equivalent to the terms “voting share” or “ordinary share” used in other parts of the world. In a liquidity event or a bankruptcy, common stockholders receive all of the net value of a company after paying the fixed amounts due to bondholders, creditors and preferred stockholders. Common stock usually carries with it the right to vote on certain matters, such as electing the board of directors.

At first, I was extremely sheepish of sharing my story with others. I shared the full truth with only a few select friends. I made excuses to almost everyone else. I carried the weight of embarrassment and shame. Then slowly I started trusting and sharing more of the truth with fellow startup friends. Shaikh cited three reasons for the decision. Most importantly, the demand wasn’t there, especially when it came to repeat bookings. He said the business would only work if “tens of millions” of people were booking one to two experiences per year, and that just wasn’t going to happen. Second, people were using the app to book fun, one-time experiences, not to “truly learn” about their passions. Working there and periodically stealing office supplies from the other tenants in our building wasn't exactly what Mark Zuckerberg seemed to be doing in The Social Network. Nonetheless, I embraced the excitement of starting from scratch and we landed a few clients, including one of my former employers. We had positive meetings with investors and large prospects in nearby Nashville. It felt like we were on to something, I started thinking about how big we could be and all the fortune that would bring. It felt like we could be a success story.
You borrowed $20,000 and used the proceeds of this loan to open a new savings account. When the account had earned interest of $867, you withdrew $20,000 for personal purposes. You can treat the withdrawal as coming first from the interest earned on the account, $867, and then from the loan proceeds, $19,133 ($20,000 − $867). All the interest charged on the loan from the time it was deposited in the account until the time of the withdrawal is investment interest expense. The interest charged on the part of the proceeds used for personal purposes ($19,133) from the time you withdrew it until you either repay it or reallocate it to another use is personal interest expense. The interest charged on the loan proceeds you left in the account ($867) continues to be investment interest expense until you either repay it or reallocate it to another use.
Take-away: After a setback, recalibrate. Entrepreneurs find it difficult to get away from their businesses, but breaks are vital. "You're coming up with ideas in your sleep and waking up with them," Kramer says, "but sometimes you have to stand back and not think about it. Allow your mind to rest in a different environment until you're ready again."

Startup went up in flames when our lead Series A investor backed out the day before Christmas (we had previously raised just under $1m). When that investor bailed at the very last minute the other investors scattered, end of company, everybody is laid off (we were pushing it cash wise, but we were done with docs and due diligence so we were just waiting on a wire).
I find that much of the time, startups take too much product risk, and that’s why they aren’t working. Most of the new products I run into aren’t at the phase of “we’re product/market fit, just add more users!” Instead, most of the time, the products are just fundamentally broken. They are asking users to do new things, they exist in new markets with no competitors, and as a result, it’s unclear if the customer behavior is there to support their product. Instead, try to take a known working category and try to invent 20% of it, rather than 90%. Apple didn’t invent the smartphone, the MP3 player, or the computer, and yet they are super innovative and successful. You don’t have to invent a new product category either, and it’s easier to get to product/market fit when you have a baseline competitor to compete against.

History has taught us how hard it can be to call the timing of a market transition. We have seen this play out first hand in the commercial drone marketplace. We were the pioneers in this market and one of the first to see the power drones could have in the commercial sector. Unfortunately, the market took longer to mature than we expected. As we worked through the various required pivots to position ourselves for long term success, we ran out of financial runway. As a result, it is with a heavy heart that we notified our team, customers, and partners that we will wind down the business.
Aaron surmised that this setting would also return the Apollo 12 telemetry to normal. When he made the recommendation to the Flight Director, "Flight, try SCE to Aux", most of his mission control colleagues had no idea what he was talking about. Telemetry was immediately restored, allowing the mission to continue. This earned Aaron the lasting respect of his colleagues, who declared that he was a "steely-eyed missile man".[1] [2]
Jinn was primarily a food delivery app that connected hungry customers with restaurants and self-employed couriers. But unlike rival services such as Deliveroo and UberEATS, Jinn allowed customers to place custom orders for virtually any shop in a city. That meant it was able to offer on-demand McDonald’s deliveries long before the fast food officially announced a partnership with UberEATS.

The startup ecosystem ("revolution") is here now. It's moved out of the shadows and into the light. This progression has a lot of people trying to understand whether or not startups are right for them. This book provides a great window into what this world is like. How might it impact your life? What does "jumping into a startup" mean, practically speaking?
As the product became more and more complex, the performance degraded. In my mind, speed is a feature for all web apps so this was unacceptable, especially since it was used to run live, public websites. We spent hundreds of hours trying to speed of the app with little success. This taught me that we needed to having benchmarking tools incorporated into the development cycle from the beginning due to the nature of our product.
In order to value a firm at the infancy stages, extensive forecasts must be determined to assess what the sales or earnings of the business will be once it is in the mature stages of operation. Providers of capital will often provide funds to businesses when they believe in the product and business model of the firm, even before it is generating earnings. While many established corporations are valued based on earnings, the value of startups often has to be determined based on revenue multiples.
In the growth phase, companies experience rapid sales growth. As sales increase rapidly, businesses start seeing profit once they pass the break-even point. However, as the profit cycle still lags behind the sales cycle, the profit level is not as high as sales. Finally, the cash flow during the growth phase becomes positive, representing an excess cash inflow.
