It is advised to have internal validation team (your co-founders, investors and everyone working in your team) as well as an external validation team (a trial network of people you create to test out possible flaws in the system) to find out possible fatal flaws in your startup or to find out where you can improve on your business model, your revenue model and the products to speed past existing competitors.


For costs paid or incurred after October 22, 2004, and before September 9, 2008, you can elect to deduct a limited amount of business start-up and organizational costs in the year your active trade or business begins. Any costs not deducted can be amortized ratably over a 180-month period, beginning with the month you begin business. If the election is made, you must attach any statement required by Regulations sections 1.195-1(b), 1.248-1(c), and 1.709-1(c), as in effect before September 9, 2008.

Example 1. Deducting startup costs of subsidiaries: In the current year, Oldcorp expands its sales base. For business reasons, it conducts the expansion in a new subsidiary. Oldcorp immediately transfers a portion of its business (either a product line or geographic area of sales) to Newcorp in a Sec. 351 exchange instead of starting a completely new business. Thus, the costs of the expansion might be deductible as Newcorp's ordinary and necessary business expenses because the costs would relate to the expansion of an existing business. Newcorp could deduct up to $5,000, then amortize the remaining expansion costs over 180 months.

The way out: A pivot. For half a year, Mehta negotiated with buzzd investors to recapitalize the company, touting a new "direct-response" product that could help big brands get high click-through rates. You can elect to amortize the cost of a certified pollution control facility over 60 months. However, see Atmospheric pollution control facilities , later, for an exception. The cost of a pollution control facility that is not eligible for amortization can be depreciated under the regular rules for depreciation. Also, you can claim a special depreciation allowance on a certified pollution control facility that is qualified property even if you elect to amortize its cost. You must reduce its cost (amortizable basis) by the amount of any special allowance you claim. See chapter 3 of Pub. 946.

The election to deduct development costs ratably as the ores or minerals are sold must be made for each mine or other natural deposit by a clear indication on your return or by a statement filed with the IRS office where you file your return. Generally, you must make the election by the due date of the return (including extensions). However, if you timely filed your return for the year without making the election, you can still make the election by filing an amended return within 6 months of the due date of the return (excluding extensions). Clearly indicate the election on your amended return and write "Filed pursuant to section 301.9100-2." File the amended return at the same address you filed the original return.
Although it's an exciting time, it's where most businesses fail. The cash demands often mean you can only underpay yourself and key employees for so long because you'll only retain people for a short period before they will feel like they need to move out to move up in their careers. Use this time to figure out a business model that allows for sustainable cash flow, consistent growth and the ability to hire other people to run it. In the tax year when active conduct of business commences, the Section 195 rules allow taxpayers to elect to amortize start-up expenses. With money in the bank, there is a temptation to attempt every idea that we've always dreamed about. That doesn't work, does it? What works instead is a clearly articulated strategy and laser sharp focus. As one of our advisers, Sanjay Anandram often says, "Focus is spelled as 'No'". Keeping with this, we have cut down many products that were not aligned with the 3 year plan, potentially taking a short term revenue hit. The idea is to free up knollies to work on high-impact products and produce stellar outcomes.
If revenue has declined for three consecutive quarters, you probably entered the declining phase two or so years ago. Take action and start looking for ways to innovate. If owners are focused on what they can take out of the business before they retire and aren’t willing to invest in new technology, people or marketing, it’s a sign that they're in decline.
The thing that hits me reading all of these is, once again, just how much time tech startups in the States waste dealing with venture capital and its ramifications (equity battles, constant whoring to pay off the last round’s investors, legal mumbo jumbo, having to deal with meddlesome investors, etc). Half of all the post-mortems I read are barely about the actual business of whatever their business is, but, instead, sound like some nerd soap opera.

In order to value a firm at the infancy stages, extensive forecasts must be determined to assess what the sales or earnings of the business will be once it is in the mature stages of operation. Providers of capital will often provide funds to businesses when they believe in the product and business model of the firm, even before it is generating earnings. While many established corporations are valued based on earnings, the value of startups often has to be determined based on revenue multiples.

You can elect to deduct only the costs of items with no salvage value. These include wages, fuel, repairs, hauling, and supplies related to drilling wells and preparing them for production. Your cost for any drilling or development work done by contractors under any form of contract is also an IDC. However, see Amounts paid to contractor that must be capitalized , later.
To elect the de minimis safe harbor for the tax year, attach a statement to the taxpayer’s timely filed original tax return (including extensions) for the tax year when qualifying amounts were paid. The statement must be titled "Section 1.263(a)-1(f) de minimis safe harbor election" and must include your name, address, taxpayer identification number (TIN), and a statement that you are making the de minimis safe harbor election under section 1.263(a)-1(f). Claim a refund. You risk losing your refund if you don't file your return. Culture and language define a lot. I was shocked to discover how different people could be mentality-wise living with me on the same planet. Koreans are aliens. Or should I say — we are aliens here? The way they do business is incomprehensible. The bureaucracy and rules that simply don’t make sense are excruciating. The academic culture in South Korea is a whole different story and I guess deserves a separate analysis. The struggle was real.
The maturity phase begins with a shakeout period, during which growth slows, focus shifts toward expense reduction and consolidation occurs. Firms achieve economies of scale, hampering the sustainability of smaller competitors. As maturity is achieved, barriers to entry become higher, and the competitive landscape becomes more clear. Market share and cash flow become the primary goals of the remaining companies now that growth is relatively less important. Price competition becomes much more relevant as product differentiation declines.

For most startups the model should be grad student, not law firm. Aim for cool and cheap, not expensive and impressive. For us the test of whether a startup understood this was whether they had Aeron chairs. The Aeron came out during the Bubble and was very popular with startups. Especially the type, all too common then, that was like a bunch of kids playing house with money supplied by VCs. We had office chairs so cheap that the arms all fell off. This was slightly embarrassing at the time, but in retrospect the grad-studenty atmosphere of our office was another of those things we did right without knowing it.
The first and foremost requirement for a pivot to truly succeed is it must solve a major problem. At the time Fab was a hugely successful company, despite the fact that the daily flash sales model wasn’t sustainable in the long-term, choosing to drastically scale down their product offerings moved too far from their identity as a designer store. Fab ultimately created another problem while prematurely trying to solve another.

A lot of entrepreneurs quit when they hit the Trough of Sorrow, struggle for 12-24 months, and face up to the reality that they’ll have to raise another dilutive round. Is this a good time to quit? Maybe. But given that the majority of startups go through this kind of stage, I’d actually argue that it’s just part of struggle to being successful. Sometimes it just takes 3 years to get through the Trough of Sorrow, but on the other side is something that might really be worth the pain. Maybe :)

The advantage of this structure is the shared risk and upside.  The disadvantage is the point I made above-- most startups fail.  The remedy would seem obvious-- pick really great startups-- but ask your favorite VC, who's highly paid to pick startup winners, if that’s not easier said than done (most VC firms make all their upside on 2 out of every 10 deals; the other 8 either fail or flat line).  Fortuitously, I’ve had a couple clients hit it out of the park and pay off, but I also own a ton of worthless startup stock (and even worse, on more than one occasion I’ve put in 6-18 months of hard, roll-up-the-sleeves work with startups that ended up running out of money).

The decline phase marks the end of an industry's ability to support growth. Obsolescence and evolving end markets negatively impact demand, leading to declining revenues. This creates margin pressure, forcing weaker competitors out of the industry. Further consolidation is common as participants seek synergies and further gains from scale. Decline often signals the end of viability for the incumbent business model, pushing industry participants into adjacent markets. The decline phase can be delayed with large-scale product improvements or repurposing, but these tend to prolong the same process.
Javier Robles owns oil property in which Pablo Olmos owns a 20% net profits interest. During the year, the property produced 10,000 barrels of oil, which Javier sold for $200,000. Javier had expenses of $90,000 attributable to the property. The property generated a net profit of $110,000 ($200,000 − $90,000). The self-employed workforce, which today accounts for 55 million Americans, or roughly 36 percent of the American workforce, is rapidly growing. One segment of self-employed are on-demand workers which provides an alternative to the nine-to-five job and companies such as Uber, Airbnb, and GrubHub are effectively reshaping the economy. Other segments include freelancers, independent contractors and other businesses of one. During the launch phase, sales are low, but slowly (and hopefully steadily) increasing. Businesses focus on marketing to their target consumer segments by advertising their comparative advantages and value propositions. However, as revenue is low and initial startup costs are high, businesses are prone to incur losses in this phase. In fact, throughout the entire business life cycle, the profit cycle lags behind the sales cycle and creates a time delay between sales growth and profit growth. This lag is important as it relates to the funding life cycle, which is explained in the latter part of this article. Finally, the cash flow during the launch phase is also negative but dips even lower than the profit. This is due to the capitalization of initial startup costs that may not be reflected in the business’ profit but that are certainly reflected in its cash flow.
